In some trades, one of the components is a "player to be named later" which usually turns out to be a minor league player. The unnamed player is included as part of a trade when the teams cannot immediately agree on a specific player or when the player is not yet eligible to be traded. I thought it would be MacPhail, but now does Middleton want his guy? Who will he answer to? It seems like Middleton wants to be owner/president and MacPhail wants to be president/gm. Depending on the gm, I could easily see some power struggle in the not so distant future.

Eh I'm not feeling any discord or dysfunction. If the scouty/minor league evaluator folks in the organization have determined that Dugan etc. aren't in the future plans, they aren't in the future plans. A new GM isn't likely going to have some significant insight into their trajectory day one anyway. Jordan and Proefrock are the best ones suited to that decision regardless.

And yes a new gm would likely defer to Proefrock and Jordan regarding the evaluation of players. The question arises for a new gm seeing that decisions normally left to the gm are instead being made by the president, is what his real power and responsibilities will be.
I would liken the Phillies gm position to that of a Cadillac Escalade that your dad bought you... However he enabled controls that don't let you go more than 45 mph, drive more than 50 miles a day and only able to listen to am radio. Suddenly, a top of the line Kia Rio without those limitations looks pretty damn sweet.
