You were treading close to the border there, but then again, I don't have a child on the spectrum. I have just read many parents who have. The thing that came across is how annoying "soft, well-meaning skepticism" was to them.

Nevertheless, whether in this case you were or you weren't, that's some of the most sage advice I've ever given on this board.

Ok, i need a contact template to start writing up contracts for 3 people. I wasn't sure if there was a specific name for the kind of contract I'm trying to write up, so here's the situation:

My boss and two others invented and created a new machine. My boss works at a university, and the two others were students. They received a grant to make this machine, and got the grant b/c the work was done at the university. My boss is now going to sell the machines at his side company. He worked out a deal with the university where they pay back the university a certain percentage on each machine sold.

They also get a royalty rate from the company on each unit sold.

That's the bulk of the issue. Is anyone aware of a certain name for this kind of contract? I just want to get a template online and fill out the rest. Thanks

You would need to know more about the invented machine. Is it patented? If so, who owns the patent? And who is the "they" that gets the royalty rate? The university or the students?

that part is already taken care of, basically my boss and the students share a % on each sale, paid by my company. Then they pay the university 15% out of those earnings. it's a huge pain in the ass, as I'm not a lawyer by any means

Well if your company does not own the invention then this is a fairly basic license agreement. That said, license agreements are rarely basic and I think you need to recommend to your boss that he consult a lawyer on this.

There are so many issues that the parties probably never thought of or discussed that become big issues if there is ever a lawsuit over it.

If we're talking any real money here, it's probably worth using an attorney. Presumably, there are already agreements in place with the university and organization that issued the grant.

Consider this:

You're not Larry Page/Sergei Brin yet, so draw up a Memorandum of Understanding. Lay out in simple terms what all parties understand as far as

a) who created the machine
b) who owns the IP behind it
c) the divvy on sales

then note that the parties have agreed to formalize the terms by X date or by attainment of Y revenues, etc. Then have everyone sign your document.

Getting the basic agreements in writing, with evidence everyone is on board, is first. Legal mumbo-jumbo can come later. Lawyers will tell you different. Eff 'em.

the reason i'm doing it is b/c my boss is too cheap for a lawyer

there isn't any paperwork on the royalty fees, just an acknowledgement he received the grant money bc of the U

You're boss is a dummy for not getting a lawyer. I'm sure Trent could recommend one (Intellectual Property). Vox has the name of one too. I think it cost us a couple hundred to get them to write up a couple of agreements.

I'm not sure. They have a lawyer, but I think since it's our product we have to come up with the paperwork. I have no idea. I'm a marketing person, and all i do is retarded contract stuff, find people to manufacture our products, crazy crap like that. at least my title sounds good
